These Terms & Conditions (“Terms,” “Agreement”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and DashBank (“Company,” “we,” “us,” or “our”), an investigative technology company headquartered in Ottawa, Ontario, Canada. These Terms govern your access to and use of the DashBank website, platform, applications, and all related services (collectively, the “Services”).
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
1. Acceptance of Terms
By creating an account, uploading content, purchasing reports, or otherwise accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms, policies, or guidelines that may be posted on the platform. These Terms apply to all visitors, users, and others who access or use the Services.
If you are using the Services on behalf of an organization (such as an insurance company, law firm, or fleet management company), you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.
2. Eligibility
You must be at least eighteen (18) years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are under 18, you are prohibited from using, accessing, or creating an account on the platform.
3. Account Registration & Security
To access certain features of the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the accuracy of your account information and promptly update it if it changes
- Keep your password confidential and not share your login credentials with any third party
- Accept sole responsibility for all activities that occur under your account, whether or not authorized by you
- Immediately notify DashBank of any unauthorized access to or use of your account
DashBank reserves the right to suspend, disable, or delete your account at any time, for any reason, including if we reasonably believe you have violated these Terms. You may not create more than one account per person. Accounts are non-transferable.
4. Description of Services
DashBank provides an investigative technology platform that enables users to:
- Submit dashcam video footage documenting road incidents, including motor vehicle accidents and road infractions
- Have submitted footage processed through an automated pipeline involving AI-powered video analysis, environmental data enrichment, and SHA-256 integrity verification
- Receive AI-generated draft reports (Road Safety Notices and PAI Reports) that are subsequently reviewed and finalized by qualified investigators
- Earn points for verified video submissions
- Search the DashBank database for existing reports
- Purchase individual reports or subscribe to enterprise access plans
- Request investigative consultations
5. Video Submission Terms
By submitting video footage to DashBank, you represent, warrant, and agree that:
- You are the rightful owner of the footage, or you have obtained all necessary rights, permissions, and authorizations to submit the footage to DashBank
- The footage was lawfully captured and its submission does not violate any applicable law, regulation, or third-party right
- The footage has not been manipulated, altered, or edited in any way that would misrepresent the events depicted (except for format conversion or length trimming)
- Any information you provide in connection with the submission (including incident descriptions, dates, locations, and contact details) is truthful and accurate to the best of your knowledge
- The footage may contain images or information relating to third parties who have not consented to its submission, and you accept responsibility for any privacy implications
- Once submitted, the footage and all derived products (extracted frames, AI analysis, reports, database entries) become part of the DashBank database and may be used in accordance with the license granted in Section 6
6. Content License
By submitting video footage or any other content to DashBank, you grant DashBank a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable, transferable, non-exclusive license to:
- Use, reproduce, modify, adapt, process, analyze, and create derivative works from the submitted footage
- Extract frames, perform AI analysis, compute integrity hashes, and enrich submissions with environmental data
- Generate, publish, distribute, and commercially sell Road Safety Notices, PAI Reports, and any other derivative products based on the submitted footage
- Store the footage and derived products in the DashBank database indefinitely
- Make the footage and derived products available to subscribers, purchasers, law enforcement, and other authorized parties
- Use the footage for training, improving, and validating AI models and analytical tools
- Display, publicly perform, and sublicense the footage and derived products in connection with the Services
You retain copyright ownership of your original raw footage. However, DashBank owns all right, title, and interest in and to any derivative works, reports, analyses, database entries, and other products created from your submissions. This license survives any termination of your account or these Terms.
7. Points Program
DashBank operates a points program that rewards users for verified video submissions. The following terms apply:
- Points are credited at DashBank’s sole discretion: currently +5 points for road infraction videos and +100 points for motor vehicle accident videos
- Points are not currency, have no cash value, and do not constitute property until redeemed
- Points may only be redeemed through DashBank’s designated redemption process (currently 1,000 points = C$100 via e-transfer)
- DashBank reserves the right to modify the points earning rate, redemption rate, or redemption methods at any time, with or without notice
- DashBank reserves the right to suspend, modify, or terminate the points program entirely at any time, with or without notice. In the event of termination, unredeemed points may be forfeited
- Points are non-transferable between accounts
- DashBank may revoke points earned through fraudulent, manipulated, or duplicate submissions
- Points may expire after a period of account inactivity, as determined by DashBank
8. Payments, Subscriptions & Refunds
The following terms govern all financial transactions on the DashBank platform:
- All prices are listed in Canadian Dollars (CAD) unless otherwise stated
- Individual report purchases (Road Safety Notices at C$50 and PAI Reports at C$1,000) are non-refundable once the report has been delivered or made available for download
- Enterprise subscriptions (currently C$1,000/month) automatically renew on a monthly basis until cancelled. You may cancel at any time through Stripe; access continues until the end of the current billing period
- All payment processing is handled by Stripe, Inc. By making a purchase, you also agree to Stripe’s Terms of Service (https://stripe.com/legal)
- DashBank reserves the right to change pricing at any time. Price changes for subscriptions will take effect at the next billing cycle
- If a payment fails, DashBank may suspend access to paid features until the outstanding balance is resolved
- You are responsible for any applicable taxes, duties, or government-imposed fees
9. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Submitting false, fabricated, manipulated, or misleading video footage or incident information
- Digitally altering, splicing, or otherwise tampering with video footage to misrepresent events
- Submitting footage of staged incidents or events that did not genuinely occur
- Submitting duplicate footage under different accounts or submissions to fraudulently earn points
- Using the platform to harass, stalk, intimidate, or threaten any individual
- Using reports or information obtained from DashBank for blackmail, extortion, or any illegal purpose
- Attempting to reverse-engineer, decompile, or disassemble any part of the Services
- Scraping, data mining, or using automated tools to extract data from the platform
- Circumventing or attempting to circumvent access controls, authentication mechanisms, or security features
- Impersonating another person or entity, or misrepresenting your affiliation with any person or entity
- Using the Services to violate any applicable law, regulation, or third-party right
- Interfering with or disrupting the integrity or performance of the Services
- Creating multiple accounts to circumvent limitations, bans, or point earning restrictions
Violation of these prohibitions may result in immediate account termination, forfeiture of points, and legal action. DashBank reserves the right to cooperate with law enforcement in the investigation and prosecution of illegal activities.
10. Intellectual Property
All content, features, and functionality of the Services — including but not limited to the website design, user interface, logos, trademarks, service marks, text, graphics, software, AI models, algorithms, report templates, database structure, and all generated reports (Road Safety Notices, PAI Reports, and any other derivative products) — are owned by DashBank or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Services except as expressly permitted by these Terms or with our prior written consent.
Purchasers of reports receive a limited, non-exclusive, non-transferable license to use the report for its stated purpose (e.g., insurance claim assessment, legal proceedings, fleet management). Purchasers may not resell, redistribute, or commercially exploit reports without DashBank’s express written consent.
11. Disclaimers
IMPORTANT — PLEASE READ CAREFULLY:
- NOT A LAW FIRM: DashBank is an investigative technology company. DashBank is NOT a law firm, does NOT provide legal advice, and does NOT act as your legal counsel. No attorney-client relationship is created by your use of the Services
- NOT A SUBSTITUTE FOR POLICE REPORTS: DashBank reports are preliminary, investigative documents. They are NOT a substitute for official police reports, insurance claims, or legal filings. You should always contact law enforcement and your insurance provider following a motor vehicle incident
- PRELIMINARY & INVESTIGATIVE ONLY: All reports generated by DashBank (including Road Safety Notices and PAI Reports) are preliminary assessments based on available evidence. They do not constitute definitive findings of fault, liability, or legal responsibility
- AI LIMITATIONS: AI-generated content within reports is probabilistic and may contain errors, misidentifications, or omissions. DashBank does not guarantee the accuracy, completeness, or reliability of AI-generated analysis
- NO WARRANTY: THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DASHBANK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR VIRUS-FREE
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT SHALL DASHBANK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES
- DASHBANK’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO DASHBANK IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (C$100), WHICHEVER IS GREATER
- DASHBANK SHALL NOT BE LIABLE FOR ANY ACTIONS TAKEN BY THIRD PARTIES (INCLUDING LAW ENFORCEMENT, INSURANCE COMPANIES, OR LEGAL PROFESSIONALS) BASED ON INFORMATION CONTAINED IN DASHBANK REPORTS
- DASHBANK SHALL NOT BE LIABLE FOR THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT, WEATHER DATA, OR OTHER AUTOMATICALLY DERIVED INFORMATION
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless DashBank, its officers, directors, employees, agents, contractors, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Services or any activity under your account
- Video footage or other content you submit to the platform
- Your violation of these Terms or any applicable law or regulation
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights
- Any claim by a third party (including individuals depicted in submitted footage) arising from your submissions
- Any false, misleading, or inaccurate information you provide
This indemnification obligation survives the termination of these Terms and your use of the Services.
14. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario, located in the City of Ottawa, for the resolution of any dispute arising out of or in connection with these Terms or the Services.
15. Termination
DashBank may terminate or suspend your account and access to the Services, at its sole discretion, immediately and without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms.
Upon termination:
- Your right to access and use the Services will immediately cease
- Any unredeemed points may be forfeited at DashBank’s discretion
- The content license granted in Section 6 shall survive termination
- Any submitted footage and derived reports may be retained as part of the DashBank database
- Provisions that by their nature should survive termination shall survive, including without limitation Sections 6, 10, 11, 12, 13, 14, and this Section 15
You may terminate your account at any time by contacting us at info@dashbank.ca. Account termination does not entitle you to a refund of any fees paid or to redemption of unredeemed points below the minimum threshold.
16. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties agree to the following escalation process:
- Step 1 — Good Faith Negotiation: The parties shall first attempt to resolve the dispute through informal, good faith negotiations for a period of not less than thirty (30) days from written notice of the dispute
- Step 2 — Mediation: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to non-binding mediation administered by a mutually agreed-upon mediator in Ottawa, Ontario. The costs of mediation shall be shared equally by the parties
- Step 3 — Litigation: If the dispute remains unresolved after mediation, either party may commence legal proceedings in the courts of Ontario as specified in Section 14
Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party’s intellectual property rights or confidential information.
17. Third-Party Links & Services
The Services may contain links to or integrations with third-party websites, services, or applications that are not owned or controlled by DashBank. DashBank has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that DashBank shall not be liable for any damage or loss caused or alleged to be caused by or in connection with the use of any third-party content, services, or products.
18. Force Majeure
DashBank shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond DashBank’s reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions or restrictions, power failures, internet or telecommunications outages, cyberattacks, labour disputes, or failures of third-party service providers.
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
20. Waiver
No failure or delay by DashBank in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any further exercise of that or any other right, power, or remedy. No waiver shall be effective unless it is in writing and signed by an authorized representative of DashBank.
21. Entire Agreement
These Terms, together with the Privacy Policy and any other policies or guidelines posted on the platform, constitute the entire agreement between you and DashBank with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral, relating to such subject matter.
22. Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of DashBank. DashBank may freely assign or transfer these Terms, in whole or in part, without restriction and without notice to you. Any attempted assignment in violation of this Section shall be null and void.
23. Changes to Terms
DashBank reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of these Terms and may provide additional notice through the platform or via email. Your continued use of the Services after the posting of revised Terms constitutes your binding acceptance of such changes. If you do not agree to the revised Terms, you must stop using the Services and close your account.
24. Notices
All notices from DashBank to you may be sent by email to the address associated with your account or by posting on the platform. Notices are deemed received on the date sent (for email) or posted (for platform notifications). All notices from you to DashBank must be sent to info@dashbank.ca and are deemed received when actually received by DashBank.
